Terms and Conditions of Use and Subscription · Last updated: 19 June 2026

These terms govern your access to and use of Condit, the web-based art condition reporting and workflow service provided by [Condit Ltd] ("Condit", "we", "us"). By creating an account, accepting an invitation, or using the service, you and the organisation you represent ("Customer", "you") agree to these terms. If you do not agree, do not use the service.

1. The service

Condit lets you create, manage and export art condition reports, manage related tasks, configure templates and branding, and collaborate within your organisation. We may add, change or remove features over time.

2. Accounts and eligibility

• You must be at least 18 and able to enter into a binding contract.
• Accounts are created by invitation from an organisation administrator. The administrator is responsible for who they invite and for that organisation's use of the service.
• You are responsible for keeping your login credentials secure and for activity under your account. Tell us promptly of any unauthorised use.
• You must provide accurate information and keep it up to date.

3. Acceptable use

You agree not to: use the service unlawfully or for unlawful content; upload material you have no right to use; infringe others' rights; attempt to breach security, access other organisations' data, or disrupt the service; reverse engineer or copy the software except as permitted by law; or resell or provide the service to third parties without our agreement.

4. Your content

• A working tool, not your archive. Condit is a tool for producing condition reports, not a long-term record-keeping system. Finished reports are exported as PDF files for you to store on your own systems, which remain your definitive record. Drafts and tasks held in Condit are temporary working data. You are responsible for keeping your own copies of your reports and records; we do not maintain a permanent archive of them on your behalf.
• Ownership. You retain all rights in the content you create or upload (reports, tasks, photographs, templates, branding and similar). We claim no ownership of it.
• Licence to us. You grant us a limited licence to host, store, process and display your content solely to provide and support the service.
• Your responsibility. You are responsible for ensuring you have the right to upload your content, including any personal data about third parties within it, and that doing so complies with applicable law.
• Data protection. Where your content contains personal data, our Data Processing Agreement applies and forms part of these terms. You are the controller and we are your processor for that content.

5. Subscription, fees and payment

• Condit is offered on a subscription basis at the fees agreed with you in writing (for example by email or in an order). Our standard pricing is £30 per month for up to five users, with discounts available for larger teams. Fees are exclusive of VAT, which is added where applicable.
• We offer a one-week free trial. At the end of the trial, a paid subscription is required to keep using the service.
• Fees are billed monthly in advance and are non-refundable except where required by law.
• We may change our prices on at least 30 days' notice; changes take effect at your next renewal.
• If payment is overdue, we may suspend access after reasonable notice.

6. Term, cancellation and suspension

• The subscription continues until cancelled. You may cancel at any time, effective at the end of the current billing period.
• We may suspend or terminate access if you materially breach these terms, fail to pay, or use the service in a way that risks harm to us or others.
• On termination, your right to use the service ends. You are responsible for exporting your reports (as PDFs) before your account closes; report drafts are not retained by us as a permanent record.

7. Intellectual property

The Condit software, design, branding and all related intellectual property belong to us or our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more.

8. Availability and warranties

We aim to keep the service available and reliable but do not guarantee it will be uninterrupted or error-free. The service is provided "as is" and "as available". To the extent permitted by law, we exclude all implied warranties.

9. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profit, data or goodwill; and our total liability arising out of or in connection with the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. You are responsible for keeping your own copies of your reports and data.

10. Indemnity

You agree to indemnify us against claims arising from your content or your use of the service in breach of these terms or applicable law.

11. Confidentiality

Each party will keep the other's non-public information confidential and use it only as needed to perform under these terms.

12. Changes to these terms

We may update these terms from time to time. We will post the updated version here and, for material changes, notify account holders. Continued use after changes take effect means you accept them.

13. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
