These terms govern your access to and use of Condit, the web-based art condition reporting and workflow service provided by [Condit Ltd] ("Condit", "we", "us"). By creating an account, accepting an invitation, or using the service, you and the organisation you represent ("Customer", "you") agree to these terms. If you do not agree, do not use the service.

1. The service

Condit lets you create, manage and export art condition reports, manage related tasks, configure templates and branding, and collaborate within your organisation. We may add, change or remove features over time.

You agree not to: use the service unlawfully or for unlawful content; upload material you have no right to use; infringe others' rights; attempt to breach security, access other organisations' data, or disrupt the service; reverse engineer or copy the software except as permitted by law; or resell or provide the service to third parties without our agreement.

7. Intellectual property

The Condit software, design, branding and all related intellectual property belong to us or our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more.

8. Availability and warranties

We aim to keep the service available and reliable but do not guarantee it will be uninterrupted or error-free. The service is provided "as is" and "as available". To the extent permitted by law, we exclude all implied warranties.

9. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profit, data or goodwill; and our total liability arising out of or in connection with the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. You are responsible for keeping your own copies of your reports and data.

You agree to indemnify us against claims arising from your content or your use of the service in breach of these terms or applicable law.

11. Confidentiality

Each party will keep the other's non-public information confidential and use it only as needed to perform under these terms.

12. Changes to these terms

We may update these terms from time to time. We will post the updated version here and, for material changes, notify account holders. Continued use after changes take effect means you accept them.

13. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
